Terms of Service

1. Overview
These Terms of Service ("Terms") govern the AfterHours Culinary marketplace (the "Platform"). The Platform is operated by AfterHours Culinary ("AHC"). By accessing the Platform you agree to these Terms.

2. Parties
"AfterHours Allies" are restaurant or commercial kitchen owners who list kitchens. "Culinary Creators" are licensed food professionals booking space. Collectively, "Users".

3. Marketplace Relationship
AHC provides an online venue; we are not a broker or insurer. AHC’s obligations are limited to: (i) facilitating Listings and Bookings; (ii) collecting and remitting payments as payment agent; (iii) providing limited customer support.

4. Eligibility & Compliance
All Users must be 18+. Allies must hold active health permits and comply with fire safety regulations. Creators must maintain a minimum $1M general liability COI naming Ally and AHC as additional insureds and, where required, a ServSafe or food handler certificate.

5. Account Creation & Verification
Users must provide accurate information, including identity verification documents. AHC may suspend accounts pending verification failures. Multi factor authentication may be required.

6. Listing Creation
Allies agree that: (a) Listing content is truthful; (b) Kitchen amenities and availability are accurate; (c) Pricing includes utilities unless otherwise disclosed; (d) Any hazards are disclosed. AHC may edit or remove Listings violating these Terms.

7. Booking Process
A Booking is created when a Creator submits a request and the Ally clicks "Accept". If an Ally does not respond within the response window (default 24h), the request expires. At acceptance Stripe pre authorizes the Creator’s card.

8. Fees
(a) Allies set the Hourly Rate. (b) AHC retains 30% Revenue Share from the Ally payout. (c) Stripe processing fees (~2.9% + $0.30) are deducted. (d) Creators pay a 5% Platform Fee. All fees are displayed prior to Booking confirmation.

9. Taxes
Allies are solely responsible for reporting and remitting any local, state, or federal taxes related to rental income. AHC may issue IRS 1099 K forms where legally required.

10. Cancellations
Creators cancelling ≥24h before Booking receive full refund. <24h ⇒ 50% penalty retained by Ally. Allies cancelling incur a 20% penalty credited to Creator and may face Listing suspension.

11. Conduct & Damages
Creators must leave kitchens clean; any damage is the Creator’s responsibility. Allies must provide functioning equipment. Users authorize AHC to charge up to $2,000 for damage claims supported by evidence.

12. Insurance
In addition to Creator COI, AHC maintains a $2M aggregate general platform policy. This does not replace Ally or Creator’s primary insurance responsibilities.

13. Disclaimers
The Platform is provided “as is.” AHC disclaims all warranties including merchantability, fitness, and non infringement.

14. Limitation of Liability
AHC’s aggregate liability shall not exceed the greater of (i) $100 or (ii) total fees paid to AHC by the claimant in the 12 months preceding the claim.

15. Indemnification
Users agree to indemnify AHC and its officers against claims arising from (i) User breach, (ii) User content, or (iii) injuries or damages during a Booking.

16. Termination
AHC may terminate accounts for breach or for any reason with 14 days notice. Outstanding obligations survive termination.

17. Dispute Resolution
Disputes shall be submitted to binding arbitration in Westchester County, NY under AAA Commercial Rules. Users waive class action rights.

18. Governing Law
New York law governs these Terms.

19. Modification of Terms
AHC may update these Terms with 30 days’ notice via email or site banner. Continued use after notice constitutes acceptance.
